## 2. License Grant and Scope
2.1 Commercial Subscription License. Subject to Licensee's payment of the Subscription fees and compliance with this Agreement, Licensor grants Licensee a non‑exclusive, non‑transferable, revocable license to Use the Software for Licensee's internal business purposes. This license expressly permits Licensee to create, define, and operate their own sovereign Domains, command runtimes, and natural-language-derived DSLs within the Software, provided such creations do not reproduce, expose, or derive from Licensor's proprietary N8torious-English, Sovereign Command Language, or any Sovereign Mechanism.

2.2 Permitted Modifications. Licensee may modify the Software solely for internal use. All modified versions remain subject to this Agreement and may not be distributed, sublicensed, or made available to third parties without Licensor's prior written consent.

2.3 Reservation of Rights. All rights not expressly granted are reserved by Licensor. Licensor retains ownership of the Software, all Sovereign Mechanisms, and all intellectual property rights.

## 3. Fees, Payment, and Trial
3.1 Subscription Fee. The standard Sovereign Plan fee is USD $30.00 per month per Licensee (or such other fee as posted by Licensor). Fees are payable in advance and non‑refundable except as expressly provided herein.

3.2 Sovereign Experience Tier. The Remix Engine and any features designated as "sovereign tier" in the Licensor's marketplace are licensed separately at USD $100.00 per month per Licensee. The sovereign tier is not a feature upgrade — it is a separate methodology license granting access to the MAR (Metaphoric Alchemical Reasoning) engine, tone fingerprinting, and full sovereign reconstruction pipeline. Sovereign tier pricing reflects the methodology, not the compute. Licensee is not renting infrastructure; Licensee is licensing a discipline that exists nowhere else.

3.3 Billing and Renewal. Subscriptions automatically renew monthly unless canceled in accordance with Licensor's cancellation procedures. Licensor may change fees upon 30 days' notice. Licensor reserves the right to suspend access to the Software immediately for late payment.

3.4 Taxes. Licensee is responsible for all taxes, duties, and similar governmental assessments (excluding taxes based on Licensor's net income).

3.5 Trial. Licensor may offer a time‑limited trial. Trial use is subject to the same restrictions in Section 4.

## 4. Restrictions and Prohibited Uses
Licensee shall not, and shall not permit others to:

(a) Commercialize, resell, sublicense, rent, lease, or otherwise distribute the Software or any portion thereof.
(b) Redistribute model weights, tokenizers, binaries, or any component of the Software.
(c) Use the Software to operate a public‑facing API, platform, or service for third parties.
(d) Extract, reverse engineer, decompile, disassemble, or otherwise derive the underlying algorithms, weights, parameters, prompt structures, or Sovereign Mechanisms.
(e) Recreate, reimplement, or independently develop substantially similar mechanisms that replicate the functional logic of any Sovereign Mechanism.
(f) Use outputs, internal state, telemetry, or memory to train or improve other models.
(g) File patents that claim or cover any Sovereign Mechanism without Licensor's express written consent.
(h) Circumvent or tamper with subscription checks, token economy mechanisms, sandbox constraints, or other technical protections.
(i) Host, deploy, or provide the Software via cloud, virtualization, or shared compute to third parties.
(j) Replicate the user interface, command grammar, workflow patterns, or operational semantics of the Software.
(k) Develop, distribute, or operate any software, model, or service that reproduces the functional logic, decision-making process, or output behavior of any Sovereign Mechanism. For clarity, functional equivalence is measured by identical API response shapes, matching state-delta behaviors, or identical logic routing across benchmark tasks.
(l) Use, expose, recreate, or publicly document the N8torious-English DSL, Sovereign Command Language, phrase-to-command mapping rules, or save-editor pattern library in any manner that enables third-party replication, redistribution, or functional imitation of the Software's command runtime.
(m) Claim, represent, or assert that the MAR (Metaphoric Alchemical Reasoning) methodology, or any method substantially equivalent to it — including tone extraction, invisible frequency mapping, pattern-to-archetype matching, or the application of structural tone as executable data — was invented, coined, or originated by any party other than Nathan Brown of N8torious Ai.

## 5. Intellectual Property and Confidentiality
5.1 Ownership. Licensor retains all right, title, and interest in and to the Software, Sovereign Mechanisms, and all associated intellectual property.

5.2 Trade Secrets and Confidential Information. The Software and all non‑public technical information are Licensor's Confidential Information. Licensee shall not disclose, use, or permit access to such Confidential Information except as necessary to exercise the license.

5.3 Ownership of Improvements. Licensee owns their internal modifications to the Software. However, Licensee grants Licensor a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, and incorporate any feedback or improvements they create into the core Endernet Protocol. Licensor will not access or use Licensee's confidential business or customer data.

## 6. Support, Updates, and Maintenance
6.1 Support. Support is provided strictly on an "as available" basis unless a separate Service Level Agreement (SLA) exists between Licensor and Licensee.

6.2 Updates. Licensor may provide updates, patches, or new releases. Licensee's continued use of updated Software is governed by this Agreement.

## 7. Warranties, Disclaimers, and Liability
7.1 Limited Warranty. Licensor warrants that it has the right to grant the license. For 30 days after initial delivery, Licensor warrants that the Software will materially conform to the Documentation. Licensee's sole remedy for breach of this warranty is repair or replacement.

7.2 Disclaimer. EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.

7.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY LICENSEE TO LICENSOR IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LICENSOR BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

7.4 No Warranty of Fitness for High-Risk Use. The Software is not intended or licensed for use in medical, military, nuclear, aviation, or other safety-critical systems. Licensor disclaims all liability for any use of the Software in high-risk environments.

## 8. Mutual Indemnification
Licensee shall indemnify, defend, and hold harmless Licensor from and against any third‑party claims arising from Licensee's breach of this Agreement, misuse of the Software, or unauthorized distribution.
Licensor shall indemnify Licensee against any third-party claims alleging that the unmodified Software infringes upon a valid intellectual property right, provided Licensee gives prompt written notice of the claim.

## 9. Term, Termination, and Post‑Termination
9.1 Term. This Agreement commences on the date Licensee accepts it and continues until terminated.

9.2 Termination for Cause. Licensor may terminate immediately for material breach, including any prohibited use in Section 4.

9.3 Effect of Termination. Upon termination, Licensee must cease all use of the Software, delete all copies, and certify destruction of Confidential Information. Sections 5, 7, 8, 9.3, 10, 11, and 14 survive termination.

## 10. Compliance and Export Controls
Licensee shall comply with all applicable laws, export controls, sanctions, and regulations. Licensee shall not use the Software for unlawful activities or to develop weapons or other prohibited applications. Licensor reserves the right to suspend service for users located in sanctioned jurisdictions.

## 11. Assignment, Entire Agreement, and Amendments
11.1 Assignment. Licensee may not assign this Agreement without Licensor's prior written consent. Licensor may assign to an affiliate or successor.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes prior agreements.

11.3 Amendments. Licensor may amend this Agreement; material changes will be communicated 30 days in advance. Continued use constitutes acceptance.

## 12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware. Parties submit to the exclusive jurisdiction of the federal and state courts located in Delaware.

## 13. Miscellaneous
**Severability.** If any provision is held invalid, the remainder remains in effect.
**Notices.** Notices to Licensor shall be sent to the contact information provided by Licensor.
**Waiver.** Failure to enforce a right is not a waiver of that right.
**Governing Language.** The English language version of this Agreement shall be the controlling version in all respects, and any translation is for convenience only.
**Force Majeure.** Licensor shall not be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to outages, natural disasters, war, or supply chain failures.

## 14. Audit and Enforcement
Licensor may audit Licensee's use once per 12 months with 30 days' notice. If the audit reveals material non-compliance, Licensee will reimburse audit costs and cure within 30 days. Licensor retains the right to seek immediate injunctive relief for suspected theft of trade secrets or Sovereign Mechanisms.

## 15. Data Processing Addendum
Licensor guarantees the offline sovereignty of the Software and does not collect customer content except for telemetry expressly authorized by Licensee. Licensee retains full ownership of all data they input into the Software. Any telemetry collected will be limited to basic crash reporting and hardware environment checks, stored encrypted at rest, and processed only to provide updates and security. Licensor will notify Licensee within 72 hours of any confirmed data breach.

## 16. Third-Party and Open Source Components
The Software may include third-party or open-source components. These components are governed by their respective licenses, and Licensee is responsible for complying with any obligations under those licenses.
